Contracting Conditions

The "Free Trial" promotion can be prolonged or cancelled upon Telepport's criteria.

The contract is made when the user issues the express confirmation of his order. Therefore, ESTUDIO BAY SLU recommends the user to read the legal notice and the conditions of contracting before placing an order. This contract is concluded in the legal framework of the Spanish regulations for electronic commerce.

Proprietary rights

License. Subject to the terms and conditions set forth herein, Estudio Bay SLU grants to Licensee a number of non-exclusive, restricted licenses, to use Telepport’s “software-as-a-service” platform known, copyrighted and trademarked as “Telepport”.

Use of service

Estudio Bay SLU’s responsabilities. Estudio Bay SLU shall use commercially reasonable efforts to make the Service available at all times. Estudio Bay SLU will maintain appropriate administrative, technical and physical safeguards to protect the security, confidentiality and integrity of the users.

Payment

The user can make the payment by credit or debit card (Visa, Visa Debit, Visa electron, MasterCard) via BrainTree. The transaction will be confirmed at the time the order is placed. The user consents to the processing of their personal data as specified in the BrainTree privacy policy: (https://www.paypal.com).

VAT

VAT number validation is executed through the UE official API. The user agrees with VIES VAT number validation disclaimer for service: (http://ec.europa.eu).

Service

Telepport uses tokbox WebRTC service OpenTok. The user consents to the processing of their personal data as specified in OpenTok privacy policy: (https://tokbox.com).

Availability

Telepport may not be available incidentally, may be available on a limited basis, and the quality of service may vary by country of the user. Telepport service may suffer interruptions that may result in the loss of user content. ESTUDIO BAY S.L. is not responsible for such loss.

Minimum connection required

The quality of the connection is very important for the quality of the service. The minimum connection required to transmit video is 350 Kb/s (about 3 Mbps). In the case of a lower connection, the user may only receive audio.

The optimal connection required for a quality service is 4G in mobile with full coverage, or fiber optic / vdsl (20mb). If the connection is lower, the quality will be adjusted to ensure the emission without latency.

Payment conditions

If the user purchases a Telepport service, accepts the following payment terms:

  1. Payment

    If there is a fee associated with a service, the user agrees to pay the charge. The current prices recorded in Telepport will be applied. The price of the services is detailed next to each of these.

    If the entire charge is not paid, the user will be notified. If he not proceed to payment immediately, we may suspend or cancel the contracted service.

  2. Billing

    At the time of hiring, the service the user will provide Estudio Bay, S.L. a method of payment. The user declares that he is authorized to use this method of payment and authorizes Estudio Bay, S.L. to charge the contracted services, either at the time of purchase or periodically.

  3. Automatic renewal

    The services are automatically renewed monthly. The user before the renewal will receive a reminder by email or other means.

    f the user decides to terminate the contract, the service will still be active until the end of the natural month, in order to let the user spend the remaining hours of service available.

  4. Upgrades & Downgrades

    If a user upgrades or downgrades its plan during a month, the new plan will be enabled at the start of the following month. All the remaining hours of service available at the end of the month will expire in order to enable the new settings of the plan.

  5. Pricing policy

    Estudio Bay, S.L. it reserves the right to modify the prices of Tele Support products. Will be applied the prices in force at the time of the order.

  6. Termination of service

    The user is obliged to pay all charges made to his account before proceeding to cancel the service.

  7. Refund policy

    Refunds are not available.

Representations and warranties

Warranty Disclaimer. The service is provided “as is” without warranty of any kind. Estudio Bay SLU makes no promises, representations or warranties, whether express, implied statutory or otherwise, with respect to the service, including its condition, its conformity to any representation or description, or the existence of any latent or patent defects, and Estudio Bay SLU specifically disclaims all implied warranties of merchantability, noninfringement and fitness for a particular purpose and all other implied or statutory warranties, as well as any local jurisdictional analogues to the above. Estudio Bay SLU does not warrant that the service will be error-free or that the service will work without interruptions.

Indemnification. Licensee shall indemnify, defend and hold Estudio Bay SLU harmless from any claim, action, suit or proceeding made or brought against Estudio Bay SLU arising out of a related to Licensee breach of any term of this Agreement.
